On November 17, 2005, SYS Technologies ("SYS" on the American stock exchange), executed a definitive agreement to acquire cVideo, headquartered in San Diego, California. SYS Technologies is a leading provider of real-time information technology solutions for industry and government customers. The transaction is anticipated to close in early December

Over the last six years, cVideo has established itself as a leader of software-based and integrated digital video applications. These applications are used in video surveillance and loss-prevention system solutions for commercial (including industrial) and government (including homeland security) clients. Recent developments enable cVideo to bolster its Marathon DVR line for enhanced performance and usability.

Our central station video monitoring integration solutions, coupled with NetManager-a network-wide system management solution-positions us at the forefront of video monitoring operation technology. In addition, our POS (Point Of Sale) video integration and our cVI (Video Intelligence) technologies provide state-of-the-art business operation tools as well as automated security surveillance for today's threat-filled environments. cVideo is currently developing web-centric command and control applications, and is poised to add new platform solutions to improve our video application capabilities.

Within SYS Technologies, cVideo will be part of the Public Safety, Security, and Industrial Solutions Group. In this division, we will gain positioning to broaden our market scope and penetration.
